
Terms & Conditions

These Terms & Conditions ("Terms") govern all services provided by Geometric Design & Technology, Inc. ("GD&T," "we," "us"), a Pennsylvania corporation, to any customer ("you"). By approving a quote or submitting payment, you agree to these Terms.
1. Services
GD&T provides digital engineering services, including reverse engineering to CAD models, 3D modeling, 2D drawing creation and CAD conversion, GD&T drawing review and tolerance consulting, dimensional inspection reporting, and first article inspection (FAI) and PPAP documentation. All deliverables are provided in digital form as described in our Digital Delivery Policy.
2. Quotes and acceptance
All work is performed under a written quote stating the scope, price, deliverables, file formats, and estimated turnaround. Quotes are valid for 30 days from issue. A project is accepted when you approve the quote and submit the required payment. No work begins, and no charge is made, before acceptance. Work outside the quoted scope requires a written change quote.
3. Payment
Payment terms are stated on each quote and summarized on our Site: projects under $1,000 are paid in full at acceptance; projects of $1,000 or more require a 50% deposit at acceptance with the balance due at delivery notice. We accept Visa, Mastercard, American Express, Discover, Apple Pay, and Google Pay, in U.S. dollars. Established accounts may be extended Net 30 terms case-by-case at our discretion. Final deliverables are released upon receipt of the full balance.
4. Customer responsibilities
You are responsible for the accuracy and completeness of the drawings, files, specifications, and parts you provide. You represent and warrant that you own, or are authorized to reproduce and have measured, every design and part you submit, and that our performance of the services will not infringe any third party's rights. You agree to review deliverables within the review window described in Section 6.
5. Parts shipped to our laboratory
Where a service requires physical measurement (inspection reports, FAI, reverse engineering), you will ship the part(s) to our Meadville, Pennsylvania laboratory at your cost and risk. We will exercise reasonable care while parts are in our custody. Return shipping, where requested, is billed at cost. Parts unclaimed 90 days after project completion may be returned, scrapped, or disposed of per your written instruction or, absent instruction, at our reasonable discretion after notice.
6. Review window; corrections
You have 10 business days from delivery to review deliverables and report any error or non-conformance to the quoted specification. Errors on our side will be corrected at no charge. Requests outside the quoted scope are handled as change quotes. Remedies for uncorrectable deliverables are described in our Refund & Cancellation Policy.
7. Intellectual property
As between the parties, you retain all intellectual property rights in the materials you provide and, upon payment in full, in the deliverables we create for you. We retain rights in our methods, know-how, templates, and tools. Our handling of your confidential materials is described in the IP & Confidentiality Statement, which is incorporated into these Terms.
8. Measurement results; no certification of your products
Our reports and models reflect measurements of the specific articles provided, using the equipment and methods stated. They are not a certification that your product, process, or production lot complies with any law, standard, or third-party requirement, and you remain solely responsible for decisions made using our deliverables, including production, release, and recall decisions.
9. Warranties and disclaimer
We warrant that services will be performed in a professional and workmanlike manner consistent with our accreditation. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS," AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GD&T'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO A PROJECT SHALL NOT EXCEED THE FEES PAID FOR THAT PROJECT, AND IN NO EVENT SHALL GD&T BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS, PRODUCTION LOSSES, OR RECALL COSTS.
11. Indemnity
You will defend and indemnify GD&T against third-party claims arising from your breach of Section 4, including claims that a part or design you submitted infringes another party's rights.
12. Governing law; disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflicts of law. The parties will first attempt to resolve any dispute informally by contacting us at quotes@gdandtiinc.com. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Pennsylvania, and the parties consent to the jurisdiction of those courts.
13. Miscellaneous
These Terms, the applicable quote, and the policies posted on the Site are the entire agreement for each project. If any provision is unenforceable, the remainder stands. We may update these Terms prospectively; the version in effect at quote acceptance governs that project.
